Terms of sale

These Terms of Sale are an agreement between you (the "Buyer") and Superior Labs USA LLC, a Florida limited liability company ("Superior Labs USA", "we", "us"), for purchases made through superiorlabusa.com (the "Site").

1. Acceptance of these terms

By placing an order on the Site, the Buyer confirms that they have read and accept these Terms of Sale and our Privacy Policy. If the Buyer does not accept them, the Buyer must not place an order. We may decline, cancel or refund any order at our sole discretion, including where eligibility cannot be verified.

2. Research use only

All products are sold strictly for in-vitro laboratory research. They are not drugs, foods, dietary supplements or cosmetics, they have not been evaluated or approved by the FDA, and they must not be used in humans or animals or for any diagnostic, therapeutic or consumption purpose.

3. Eligible buyers

Purchasers must be 21 years of age or older and must confirm, at checkout and again on request, that products will be used only for in-vitro laboratory research. We may request additional documentation at any time to verify eligibility, identity or the research purpose of an order.

4. Orders, acceptance and payment

  • An order is an offer to buy. A contract is formed only when we confirm the order by email after payment is verified.
  • Payment instructions are provided at checkout or in the order confirmation. We currently accept Zelle and cryptocurrency transfers. An order is not final, and will not ship, until the full payment has been received and confirmed.
  • Where card payment is offered, it is collected on a secure hosted payment page operated by our payment processor. We never receive or store full card numbers on our servers.
  • Prices are shown in US dollars. The Buyer is responsible for any bank, network or conversion fees charged by their own provider.
  • If a payment is reversed, disputed or found to be unauthorized after shipment, we may pursue recovery of the amount owed and may suspend future orders.

5. Pricing and product information

We work to keep product information accurate, but errors in price, size or description may occur. If an error affects an order, we will contact the Buyer with the option to confirm the corrected terms or cancel for a full refund. Product specifications on the Site are representative; the certificate of analysis for each lot, which the Buyer can order after purchase, is the governing specification.

6. Shipping and delivery

Orders ship from Florida via USPS Priority Mail within 2 business days after payment is confirmed, to addresses within the United States. Every order includes tracking. Delivery dates are estimates provided by the carrier and are not guaranteed. Risk of loss passes to the Buyer upon delivery as shown by carrier tracking.

7. Returns, replacements and cancellations

  • Cancellations: orders can be cancelled for a full refund until they ship. Shipped orders cannot be cancelled.
  • No returns of delivered research materials. For safety and product integrity (temperature-sensitive lyophilized compounds), we cannot accept returns once an order has been delivered.
  • Damaged, missing or incorrect items: contact support@superiorlabusa.com within 48 hours of delivery with the order number and photos of the package and vials. After verification we will replace the item at no cost.
  • Lost packages: if tracking shows no delivery after 7 business days, contact us and we will open a carrier claim and reship or refund once resolved.
  • Quality concerns: contact us with the lot number. We will review it against the lot's certificate of analysis (available to order after purchase) and replace the product if it does not meet specification.
  • Refunds, when approved, are issued to the original payment method within 5 to 10 business days.
  • Please contact us before disputing a charge with your bank or payment provider. We resolve issues directly and quickly.

8. Buyer obligations

The Buyer warrants that products will be handled by qualified personnel under appropriate safety procedures, in compliance with all applicable laws, and will not be resold, repackaged or distributed for human or veterinary use. The Buyer is solely responsible for determining whether their purchase, possession and use of the products is lawful in their jurisdiction.

9. Intellectual property

The Site, its text, product names, logos and design are the property of Superior Labs USA LLC or its licensors. The Buyer receives no right to use our trademarks or content other than viewing the Site to place and manage orders.

10. Disclaimer of warranties

PRODUCTS AND THE SITE ARE PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING ANY IMPLIED WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE OR NON-INFRINGEMENT, TO THE MAXIMUM EXTENT PERMITTED BY LAW. We do not warrant that any product is suitable for any purpose other than in-vitro laboratory research.

11. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SUPERIOR LABS USA LLC WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, ARISING FROM THE PURCHASE, HANDLING OR USE OF ANY PRODUCT OR FROM USE OF THE SITE. OUR TOTAL LIABILITY FOR ANY CLAIM CONNECTED TO AN ORDER IS LIMITED TO THE AMOUNT THE BUYER PAID FOR THAT ORDER. Nothing in this section limits liability that cannot be limited under applicable law.

12. Indemnification

The Buyer agrees to indemnify and hold harmless Superior Labs USA LLC, its members, managers and employees from claims, damages and expenses (including reasonable attorneys' fees) arising from the Buyer's handling, use, resale or misuse of any product, or from breach of these terms.

13. Governing law and venue

These terms are governed by the laws of the State of Florida, without regard to conflict-of-law rules. Any dispute arising from these terms or from an order must be brought in the state or federal courts located in Miami-Dade County, Florida, and the Buyer consents to personal jurisdiction there.

14. Changes to these terms

We may update these terms at any time. The version posted on the Site at the time an order is placed governs that order. Continued use of the Site after a change is posted constitutes acceptance of the updated terms for future orders.
